Please read these Terms of Service ("Terms") carefully before using Coda. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.
1. About Coda
Coda is a memorial platform that allows users to create and share memorials ("Codas") for individuals who have passed away, and to connect with others in a shared community of remembrance. Coda is operated by Coda, Inc., a Delaware corporation ("Coda," "we," "us," or "our"). Our website is located at codaforever.com.
2. Eligibility
You must be at least 18 years of age to create an account or use the Service. By using the Service, you represent and warrant that you meet this age requirement and that you have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. Account Registration
To access certain features of the Service, you must create an account. When registering, you agree to:
Provide accurate, current, and complete information
Maintain the security of your account credentials
Notify us promptly of any unauthorized access to your account
Accept responsibility for all activity that occurs under your account
We reserve the right to suspend or terminate accounts that violate these Terms or that we believe have been compromised.
4. User Content
Coda allows you to submit, post, and share content, including photos, written tributes, comments, and other materials ("User Content"). You retain ownership of User Content you create. By submitting User Content, you grant Coda a non-exclusive, worldwide, royalty-free license to use, store, display, and distribute your User Content solely for the purpose of operating and providing the Service.
You represent and warrant that:
You own or have the necessary rights to the User Content you submit
Your User Content does not infringe the intellectual property, privacy, or other rights of any third party
You have the consent of any living individuals identifiably depicted in your User Content
Your User Content complies with these Terms and all applicable laws
5. Memorial Content Guidelines
Coda is a platform for honoring and remembering those who have passed. In that spirit, all content on the Service must be respectful and appropriate. You agree not to submit content that:
Is false, misleading, or inaccurate about a deceased individual
Is defamatory, harassing, abusive, or harmful toward any person
Contains hate speech, discrimination, or content targeting individuals based on race, ethnicity, religion, gender, sexual orientation, disability, or other protected characteristics
Exploits, demeans, or disrespects the memory of a deceased individual
Contains graphic violence, sexual content, or other material inappropriate for a general audience
Violates the privacy of the deceased or their surviving family members
We reserve the right to remove content that violates these guidelines or that we determine, in our sole discretion, is otherwise inappropriate for the Service.
6. Prohibited Uses
In addition to the content guidelines above, you agree not to:
Use the Service for any unlawful purpose or in violation of any applicable law
Impersonate any person, organization, or entity
Scrape, harvest, or collect data from the Service without our written permission
Use automated tools, bots, or scripts to access or interact with the Service
Attempt to gain unauthorized access to any part of the Service or its infrastructure
Interfere with or disrupt the integrity or performance of the Service
Use the Service to send spam or unsolicited communications
Reverse engineer, decompile, or attempt to extract the source code of the Service
7. Third-Party Integrations
The Service may connect with or link to third-party platforms and services, such as Meta (Facebook/Instagram). Your use of those services is governed by their respective terms and privacy policies. Coda is not responsible for the practices of third-party services.
8. Intellectual Property
All content, features, and functionality of the Service that are not User Content (including the Coda name, logo, design, software, and original content) are owned by Coda and are protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, distribute, or create derivative works based on our proprietary content without our express written permission.
9. Termination
We may suspend or terminate your account and access to the Service at any time, with or without notice, if we believe you have violated these Terms or for any other reason at our discretion. You may also delete your account at any time by contacting us. Upon termination, your right to use the Service will immediately cease. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, and governing law.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. CODA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, CODA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED $100.
12. Indemnification
You agree to indemnify and hold harmless Coda and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your User Content, or your violation of these Terms.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction for disputes involving intellectual property or unauthorized access to the Service.
14. Changes to These Terms
We may revise these Terms from time to time. When we do, we will update the "Last Updated" date at the top of this page and, where appropriate, notify you by email or through the Service. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.
